Finch Electronic Solutions – Commercial Terms

These documents form part of the Finch Electronic Solutions Commercial Terms framework and should be read together.

By placing an order with Finch, the Customer agrees to these documents.
1. Definitions
ACL means the Australian Consumer Law contained in Schedule 2 of the Competition and Consumer Act 2010 (Cth).
Finch means Yi-Lun Elaine Chia trading as Finch Electronic Solutions (ABN 47 182 085 471).
Customer means any person or entity purchasing Goods or Services from Finch.
Goods means products, electronic components, materials, or equipment supplied by Finch.
Services means services provided by Finch including procurement coordination, electronics manufacturing coordination, and EMC consultation.
2. Application
These Terms apply to all quotations, orders, and supply of Goods or Services by Finch.
Any terms proposed by the Customer are rejected unless expressly agreed in writing by Finch.
Placing an order with Finch constitutes acceptance of these Terms.
3. Pricing
Prices are quoted in Australian Dollars (AUD) and exclude GST, freight, duties, insurance, and other applicable charges.
Prices may change prior to order acceptance due to supplier pricing changes, raw material costs, tariffs, freight costs, or other factors outside Finch’s reasonable control.
Where pricing is based on foreign currency supplier pricing, Finch may adjust quoted prices if exchange rates vary by more than ±3%.
4. Quote Validity
Quotations issued by Finch are valid for thirty (30) days from the date of issue unless otherwise stated in writing.
Finch reserves the right to revise pricing after this period due to supplier pricing changes, exchange rate movements, freight costs, or supply chain conditions.
5. Component Availability
Quotations are based on component availability at the time of quoting.
If components become unavailable, discontinued, or subject to supplier allocation prior to order placement, Finch may revise pricing, delivery schedules, or sourcing arrangements.
6. Minimum Order Value
Finch maintains a minimum order value of $150 excluding GST and freight.
Finch reserves the right to decline orders below this value.
7. Payment Terms
Full payment is required at the time of order placement unless otherwise agreed in writing.
Orders will not be processed until payment has been received in cleared funds.
Finch accepts payment via Visa, MasterCard, American Express (Amex), Google Pay, PayPal, and Electronic Funds Transfer (EFT) / Bank Transfer.
Payments via card or digital wallets may incur a processing surcharge where permitted by law.
8. Procurement Commitment
Once an order is confirmed Finch may enter purchasing, manufacturing, or supply commitments with third‑party suppliers.
Where Finch has incurred costs or committed to supplier orders in connection with a Customer order, those costs are non‑cancellable and non‑refundable.
The Customer remains responsible for payment of all supplier commitments made in good faith by Finch.
Finch may recover reasonable costs or losses resulting from cancellation after supplier commitments have been made.
9. Orders and Cancellations
Orders may only be cancelled or varied with Finch’s written consent.
Goods manufactured, assembled, or procured specifically for a Customer order cannot be cancelled or returned once procurement or production has commenced except where required under the ACL.
10. Delivery and Lead Times
Quoted lead times are estimates only and may change due to supplier schedules, component availability, shipping delays, customs processes, or other circumstances outside Finch’s reasonable control.
Risk in the Goods passes to the Customer upon delivery to the Customer or their nominated carrier.
Claims for shortages or incorrect supply must be made within seven (7) days of delivery.
11. Acceptance of Goods
Goods will be deemed accepted unless the Customer notifies Finch in writing of any defect, shortage, or incorrect supply within seven (7) days of delivery.
12. Returns
Returns require prior written approval from Finch.
Approved returns must be unused, in original condition, and returned at the Customer’s expense with a Finch return authorisation.
A restocking fee of 20% of the invoice value or $20 (whichever is greater) may apply unless the return is due to Finch’s error or required by law.
13. Warranty
Goods supplied by Finch are warranted against defects in materials and workmanship for twelve (12) months from the date of delivery unless otherwise stated.
This warranty does not apply to defects caused by misuse, incorrect installation, modification by third parties, or operation outside specified operating conditions.
Manufacturer warranties may apply where provided by the original manufacturer.
Nothing in these Terms excludes rights under the Australian Consumer Law.
14. Limitation of Liability
To the maximum extent permitted by law, Finch is not liable for any indirect, incidental, special, or consequential loss including loss of profits, loss of production, loss of revenue, product recall costs, system failures, or losses arising from integration of Goods into other products or systems.
Finch’s total liability arising from the supply of Goods or Services is limited to replacement of the Goods, repair of the Goods, or refund of the purchase price and will not exceed the value of the Goods or Services supplied.
15. Force Majeure
Finch is not liable for failure or delay caused by events beyond its reasonable control including natural disasters, supplier shortages, transport disruptions, labour disputes, pandemics, government actions, or other unforeseen events.
16. Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable, that provision will be severed and the remaining provisions will continue in full force and effect.
17. Governing Law
These Terms are governed by the laws of Victoria, Australia and the parties submit to the jurisdiction of the courts of Victoria.
These terms may be updated from time to time. The version published on the Finch Electronic Solutions website at the time of order will apply.
